These Terms of Service ("Terms") govern your use of the Drop Circle Shopify application (the "App") operated by FireBar Labs. By installing or using the App, you agree to these Terms.
Drop Circle is a closed, invite-only dropship network. Installation of the App does not automatically grant full access. Each merchant store must be reviewed and approved by FireBar Labs before product sync, order routing, and fulfillment features become active. We reserve the right to approve, reject, or suspend any store at our discretion.
When installing the App, a merchant indicates whether their store will act as a supplier (offering products to the network) or a retailer (selling network products to end customers). A merchant may hold both roles with prior approval.
The App itself is free to install. Commercial terms between suppliers and retailers — including wholesale pricing, margin splits, and payment schedules — are governed by a separate partnership agreement signed outside the App. FireBar Labs may act as a payment intermediary in certain arrangements; if so, details will be set out in that separate agreement.
You may not use the App to: (a) list or sell products that violate applicable law, Shopify's Acceptable Use Policy, or the policies of your local jurisdiction; (b) circumvent the network to contact end customers for marketing purposes; (c) reverse-engineer, scrape, or abuse the App's infrastructure; or (d) misrepresent your identity, location, or product origin.
Suppliers retain all rights to product content (images, descriptions, brand names) they upload. By participating in the network, suppliers grant retailers a limited, revocable license to display that content on their stores for the purpose of selling the product. FireBar Labs retains all rights to the App itself, including software, logos, and documentation.
The App is provided "as is" without warranty of any kind. FireBar Labs does not warrant that the App will be uninterrupted, error-free, or that data will always be synchronized without delay. Merchants are responsible for maintaining their own backups of critical business data.
To the fullest extent permitted by law, FireBar Labs's total liability for any claim arising from the use of the App is limited to the amount paid by the claimant to FireBar Labs in the twelve months preceding the claim, or one hundred US dollars ($100), whichever is greater. We are not liable for indirect, incidental, consequential, or punitive damages.
Either party may terminate these Terms at any time. Merchants may terminate by uninstalling the App from their Shopify admin. FireBar Labs may terminate a merchant's access for breach of these Terms, abuse of the network, or at its discretion with reasonable notice.
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any dispute arising from the Terms will be resolved in the state or federal courts located in Los Angeles County, California.
